Professional and Non Pro Definitions

Exchanges and market centers, as well as third party service providers require traders and subscribers to attest to a category classification. Assent LLC is required and expected to adhere to such definitions.

From a pragmatic perspective, the primary difference in such categories involves simple economics. Generally speaking, the exchanges, market centers and third party service providers charge higher rates to subscribers who meet the definitions of a professional.

Non-Professional Active Investor

You are considered a non-professional if in your individual and personal capacity, you are not a principal, officer, partner, employee or agent of any business nor on behalf of any other individual. You are neither a registered or qualified with the Securities and Exchange Commission, ("SEC"), the Commodities Futures Trading Commission, any state securities agency, any securities exchange or association, or any commodities or futures contract market or association. You are not engaged as an "investment advisor" as that term is defined in Section 202(a)(11) of the Investment Advisors Act of 1940 (whether or not registered or qualified under that act), nor employed by a bank or other organization exempt from registration under Federal and/or state securities laws to perform functions that would require him/her to be so registered or qualified if he/she were to perform such functions for an organization not so exempt.

Professional Active Investor

You are considered a professional if in your individual and personal capacity you are a principal, officer, partner, employee or agent or are a company using data to gain any information other than the price of your own company. You are registered or qualified with the Securities and Exchange Commission, ("SEC"), the Commodities Futures Trading Commission, any state securities agency, any securities exchange or association, or any commodities or futures contract market or association. You are engaged as an "investment adviser" as that term is defined in Section 202(a)(11) of the Investment Advisers Act of 1940 (whether or not registered or qualified under that act), or employed by a bank or other organization exempt from registration under Federal and/or state securities laws to perform functions that would require him/her to be so registered or qualified if he/she were to perform such functions for an organization not so exempt.
